Terms of Service

The agreement between you and Quiny, Inc. when you join the waitlist, build an app in the console, or publish it. Written to be read.

Who we are

These terms are an agreement between you and Quiny, Inc., a Delaware corporation ("Quiny", "we", "us"). They cover the Quiny console, the waitlist, the apps Quiny builds for you, and anything else we offer under the Quiny name (together, the "Service"). By joining the waitlist, opening an account or using the Service, you agree to these terms and to our Privacy Policy.

If you are using Quiny on behalf of a business, you confirm that you are allowed to bind that business, and "you" means the business.

What Quiny does

Quiny turns a plain English description of a business into a working iOS application. You describe the business, answer a short set of questions, approve the screens Quiny proposes, and Quiny writes the code, builds the app and, if you ask it to, submits the app to the Apple App Store.

Quiny is early software offered in limited batches. Features change, and some parts described on our website may not be available to every account at the same time. Where something on the site and something in these terms disagree, these terms win.

Your account

You need an account to build. You must give accurate information, keep your sign in details private, and tell us at help@quiny.ai if you think someone else has used your account. You are responsible for what happens under your account, including credits spent.

You must be at least 18, or the age of majority where you live, and legally able to enter a contract.

Credits and payment

Building spends credits. Asking questions, answering them, previewing, approving and going back to an earlier version never spends credits. The console shows an estimate before every step that costs credits, and the current price list is published in the console and in the help center.

Credits you buy are charged in advance through our payment provider, are not refundable except as set out below or where the law requires, and do not expire while your account is open.

If a build step fails because of a fault in Quiny, the credits for that step are returned automatically. If you believe Quiny got a step wrong, you can flag the answer in the console. When we agree the mistake was ours, the credits for that step are refunded.

We may change prices. Changes never apply to credits you already hold.

Your content

"Your content" means everything you give Quiny: your description of the business, your answers, product names, prices, photographs, logos, links, files, and anything you connect such as a Shopify store or a GitHub repository.

You keep ownership of your content. You give Quiny a license to store, read, copy and process your content only as needed to provide the Service to you, including sending relevant parts of it to the model providers we use to build your app. We do not use your content to train our own models, and our contracts with model providers do not allow them to train on it either.

You are responsible for having the rights to everything you upload. Do not give Quiny content you are not allowed to use, content that breaks the law, or content that infringes someone else's rights.

The app and the code are yours

The application Quiny builds for you, including its source code, screens, copy and store listing, is your property from the moment it is created. We assign to you all rights we might otherwise have in it. You may download it, push it to your own repository, change it, give it to a developer, or publish it without Quiny for as long as you like.

Two things are not included in that assignment: the Quiny Service itself, and open source components that come with their own licenses. Your exported code lists those components and their licenses, and you agree to follow them.

You give Quiny permission to keep a copy of your app inside your workspace so that you can ask for changes later. You can delete a workspace at any time and we remove our copy within thirty days.

Publishing to the App Store

Apps are submitted through your own Apple Developer account, which you connect in Settings before your first submission. Quiny does not hold apps under its own Apple Developer team, does not publish on your behalf, and is not the publisher of your app. You are responsible for holding an Apple Developer Program membership in good standing and for the agreements you accept with Apple. Quiny asks for an App Manager role on your team, shows the scope before you approve it, and you can revoke it at any time.

Apple decides what it accepts. We prepare the listing and answer Apple's questions from what the app actually does, we read any rejection and fix what it names at no extra credit cost where the cause was our build, and we tell you plainly if the issue is with the business itself. We cannot promise that Apple will approve an app or how long review will take.

You are responsible for the app once it is live: the products you sell in it, the prices, the taxes, your customers' orders, and your compliance with Apple's Developer Program License Agreement and App Store Review Guidelines.

Connected services

Quiny can connect to third party services you choose, such as GitHub, Shopify, Stripe, RevenueCat, Instagram, Pinterest, Apple, AWS and Azure. Before Quiny touches any of them it asks you and shows the exact scope. Connecting nothing is fine and the Service still works.

Those services have their own terms and privacy policies, which apply to your use of them. We are not responsible for their availability or for what they do with your data. You can revoke any connection from Settings and we stop using it immediately.

Payments in the apps Quiny builds go through your own Stripe account. Quiny never holds your customers' money.

Acceptable use

Do not use Quiny to build anything that is illegal where you or your customers are, that is designed to deceive, harass or harm people, that sells goods you may not legally sell, or that collects personal data without a lawful basis. Do not try to break into the Service, overload it, scrape it, resell it, or reverse engineer the parts that are not open source. Do not use another person's account.

We may pause or close an account that breaks these rules. If we do, we will tell you why unless the law prevents it, and you can still export your code.

Models and generated output

Quiny uses large language models from several providers and chooses between them for each step. Their output is generated from your content and instructions. We work hard to make it correct, but generated code and text can contain mistakes, and you approve each screen before it becomes part of the build. Check prices, legal text and anything you would be embarrassed to ship.

Availability and changes

We aim for the Service to be available all the time, but we do not promise that it will be. We may change, suspend or stop any part of the Service. If we stop the Service entirely, we will give you at least sixty days notice by email and your code stays exportable for that whole period.

Disclaimers

The Service is provided as is and as available. To the fullest extent the law allows, we make no warranties, express or implied, including of merchantability, fitness for a particular purpose or non infringement. We do not warrant that generated apps are free of defects or that they will meet Apple's or anyone else's requirements.

Nothing in these terms removes rights that consumer law gives you and that cannot be excluded by contract.

Limitation of liability

To the fullest extent the law allows, Quiny is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data or lost goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid Quiny in the twelve months before the claim and one hundred US dollars.

Indemnity

You will defend and indemnify Quiny against claims that arise from your content, from the apps you publish, or from your breach of these terms, including reasonable legal fees.

Ending the agreement

You can close your account at any time from Settings or by emailing help@quiny.ai. We can end this agreement on thirty days notice, or immediately if you seriously breach it. When the agreement ends you can still download your code for thirty days, unused purchased credits are refunded on a pro rata basis unless the account was closed for breach, and the sections of these terms that by their nature should survive continue to apply.

Governing law

These terms are governed by the laws of the State of Delaware, without regard to its conflict of law rules. Disputes will be brought in the state or federal courts located in Delaware, and both of us consent to their jurisdiction. If you are a consumer in a country whose law gives you the right to bring a claim where you live, nothing here takes that right away.

Changes to these terms

We may update these terms. If a change is material we will email account holders at least fourteen days before it takes effect. Continuing to use the Service after that date means you accept the new terms. Earlier versions are available on request.
